Are these contract templates legally valid in India?

The templates follow the standard structure of contracts under the Indian Contract Act, 1872 and are suitable for routine commercial use. They cover the essential elements (offer, acceptance, consideration, intent to create legal relations, capacity, lawful object).

For complex situations — high-value deals, regulated industries (pharma, fintech, defence), cross-border arrangements, employment in startups with ESOPs, M&A scenarios — have a lawyer review or draft the contract. These templates are a strong starting point, not a substitute for legal counsel.

Do I need to stamp or notarise the contract?

Stamping: Most agreements require stamping under the Indian Stamp Act or the relevant State Stamp Act. Stamp duty varies by state and contract type:

  • NDA / freelance / consulting: typically ₹100–₹500 stamp paper
  • Employment contract: typically ₹100 stamp paper
  • Lease / property contracts: % of value (much higher)

Notarisation is optional for most commercial contracts but recommended for higher-value or high-trust agreements. Check your state's stamp duty schedule before printing on plain paper.

What's the difference between mutual and one-way NDA?

Mutual NDA — both parties exchange confidential information and both agree to protect what they receive. Used when two companies are exploring a partnership / JV / acquisition and need to share sensitive plans.

One-way NDA — only one party (the Disclosing Party) shares confidential information; the other party (Receiving Party) agrees to protect it. Used when hiring a contractor, vendor, or consultant who will see your sensitive material.

Pick the one that matches the actual flow of information — using a mutual NDA when only one side is sharing creates confusion later.

Freelance vs employment — which should I use?

Use a freelance / consultant agreement when:

  • The work is project-based with clear deliverables
  • The freelancer controls how, when, and where they work
  • The freelancer can take on other clients
  • You'll deduct TDS under Section 194J (10% professional / 2% technical)

Use an employment contract when:

  • It's a full-time role with fixed hours
  • Work is supervised / under your direction
  • The person works exclusively for you
  • You'll process payroll, deduct PF, ESI, professional tax, and Section 192 TDS on salary

The IT Department and Labour Department can re-classify a "freelance" arrangement as employment if the actual relationship looks like employment — this exposes you to back-PF, ESI, and gratuity claims. Pick the right structure upfront.
